It gets difficult when the paperwork, debtor structure, customer relationship and payment excuses stop being simple.<\/strong><\/p>\n<p data-start=\"1041\" data-end=\"1329\">A customer may still be placing new orders while ignoring old invoices. An LLC may suddenly \u201cclose\u201d and reopen under another name. A debtor may dispute one line item and use it as a reason to withhold $80,000. Our customer is still buying from us. Can we collect the old invoices without killing the relationship?<\/span><\/h4>\n<p data-start=\"1490\" data-end=\"1555\">Yes. You can separate <strong data-start=\"1512\" data-end=\"1554\">past-due receivables from new business<\/strong>.<\/p>\n<p data-start=\"1557\" data-end=\"1720\">Some creditors continue supplying the customer under tighter terms\u2014COD, deposits, shorter terms, or credit holds\u2014while a collection agency works the older balance.<\/p>\n<p data-start=\"1722\" data-end=\"1806\">For CA-USA, the goal is not to create drama where negotiation can solve the problem.<\/p>\n<p data-start=\"1808\" data-end=\"1884\"><strong data-start=\"1808\" data-end=\"1884\">Recover the old money. Protect profitable future business when possible.<\/strong><\/p>\n<hr data-start=\"1886\" data-end=\"1889\" \/>\n<h4 data-section-id=\"1u22ay1\" data-start=\"1891\" data-end=\"1990\"><span style=\"color: #800000;\">2. One invoice is disputed, but five others are not. Does the whole account need to sit unpaid?<\/span><\/h4>\n<p data-start=\"1992\" data-end=\"1995\">No.<\/p>\n<p data-start=\"1997\" data-end=\"2050\">This is one of the most common B2B stalling patterns:<\/p>\n<blockquote data-start=\"2052\" data-end=\"2121\">\n<p data-start=\"2054\" data-end=\"2121\">\u201cWe have an issue with invoice #4572, so we&#8217;re holding everything.\u201d<\/p>\n<\/blockquote>\n<p data-start=\"2123\" data-end=\"2265\">If five invoices are clearly documented and only one is genuinely disputed, isolate the disputed amount and pursue the <strong data-start=\"2242\" data-end=\"2264\">undisputed balance<\/strong>.<\/p>\n<p data-start=\"2267\" data-end=\"2362\">One $3,000 disagreement should not automatically freeze $60,000 of otherwise accepted invoices.<\/p>\n<hr data-start=\"2364\" data-end=\"2367\" \/>\n<h4 data-section-id=\"1wiicnw\" data-start=\"2369\" data-end=\"2474\"><span style=\"color: #800000;\">3. Our contract says ABC LLC, but invoices were paid for years by ABC Holdings. Who actually owes us?<\/span><\/h4>\n<p data-start=\"2476\" data-end=\"2544\">This needs to be sorted out <strong data-start=\"2504\" data-end=\"2543\">before aggressive collection begins<\/strong>.<\/p>\n<p data-start=\"2546\" data-end=\"2645\">Businesses frequently operate through parent companies, subsidiaries, DBAs and related LLCs. Check:<\/p>\n<ul data-start=\"2647\" data-end=\"2822\">\n<li data-section-id=\"7ms93s\" data-start=\"2647\" data-end=\"2662\">the contract;<\/li>\n<li data-section-id=\"8euv8\" data-start=\"2663\" data-end=\"2684\">credit application;<\/li>\n<li data-section-id=\"1ct345h\" data-start=\"2685\" data-end=\"2703\">purchase orders;<\/li>\n<li data-section-id=\"pffq3s\" data-start=\"2704\" data-end=\"2731\">entity named on invoices;<\/li>\n<li data-section-id=\"1cm3t3f\" data-start=\"2732\" data-end=\"2750\">payment history;<\/li>\n<li data-section-id=\"1hkdk1w\" data-start=\"2751\" data-end=\"2764\">signatures;<\/li>\n<li data-section-id=\"8og9m9\" data-start=\"2765\" data-end=\"2782\">guarantees; and<\/li>\n<li data-section-id=\"11p369s\" data-start=\"2783\" data-end=\"2822\">correspondence identifying the buyer.<\/li>\n<\/ul>\n<p data-start=\"2824\" data-end=\"3066\">A DBA or trade name alone is not necessarily a separate legal entity. For UCC purposes, even a debtor&#8217;s trade name by itself may be insufficient where the registered organization&#8217;s legal name is required.<\/p>\n<p data-start=\"3068\" data-end=\"3180\"><strong data-start=\"3068\" data-end=\"3180\">Collect from the entity that actually incurred the obligation\u2014not whichever company name is easiest to find.<\/strong><\/p>\n<hr data-start=\"3182\" data-end=\"3185\" \/>\n<h4 data-section-id=\"1788376\" data-start=\"3187\" data-end=\"3297\"><span style=\"color: #800000;\">4. The debtor says, \u201cYour invoice was never approved in our AP system.\u201d Is that a valid reason not to pay?<\/span><\/h4>\n<p data-start=\"3299\" data-end=\"3315\">Not necessarily.<\/p>\n<p data-start=\"3317\" data-end=\"3460\">Their internal approval workflow is important operationally, but it does not automatically determine whether your underlying obligation exists.<\/p>\n<p data-start=\"3462\" data-end=\"3614\">If you have a signed agreement, purchase order, proof of delivery, accepted goods, completed services, emails and prior payments, provide those records.<\/p>\n<p data-start=\"3616\" data-end=\"3828\">For sales of goods governed by UCC Article 2, a buyer that accepts goods generally has an obligation to pay at the contract rate, subject to applicable defenses and remedies.<\/p>\n<p data-start=\"3830\" data-end=\"3932\"><strong data-start=\"3830\" data-end=\"3932\">\u201cOur AP manager didn&#8217;t click approve\u201d and \u201cwe never ordered this\u201d are two very different disputes.<\/strong><\/p>\n<hr data-start=\"3934\" data-end=\"3937\" \/>\n<h4 data-section-id=\"1qotkr3\" data-start=\"3939\" data-end=\"4072\"><span style=\"color: #800000;\">5. The customer never complained until a collection agency contacted them. Now suddenly everything was \u201cdefective.\u201d What happens?<\/span><\/h4>\n<p data-start=\"4074\" data-end=\"4135\">Treat the dispute seriously\u2014but examine <strong data-start=\"4114\" data-end=\"4134\">when it appeared<\/strong>.<\/p>\n<p data-start=\"4137\" data-end=\"4141\">Ask:<\/p>\n<ul data-start=\"4143\" data-end=\"4364\">\n<li data-section-id=\"87f5yz\" data-start=\"4143\" data-end=\"4179\">Was there a complaint at delivery?<\/li>\n<li data-section-id=\"jy9cuy\" data-start=\"4180\" data-end=\"4206\">Were the goods accepted?<\/li>\n<li data-section-id=\"1heg9nt\" data-start=\"4207\" data-end=\"4227\">Did they use them?<\/li>\n<li data-section-id=\"1uj1znq\" data-start=\"4228\" data-end=\"4261\">Did they make partial payments?<\/li>\n<li data-section-id=\"1cq4hvq\" data-start=\"4262\" data-end=\"4312\">Are there emails praising or approving the work?<\/li>\n<li data-section-id=\"5werq5\" data-start=\"4313\" data-end=\"4364\">Did they raise any issue before collection began?<\/li>\n<\/ul>\n<p data-start=\"4366\" data-end=\"4545\">For goods transactions, the UCC generally requires buyers who accept goods and later claim breach to provide notice within a reasonable time.<\/p>\n<p data-start=\"4547\" data-end=\"4623\">A late complaint may be legitimate. It may also be a payment-delay strategy.<\/p>\n<p data-start=\"4625\" data-end=\"4660\">Documentation tells the difference.<\/p>\n<hr data-start=\"4662\" data-end=\"4665\" \/>\n<h4 data-section-id=\"e8ni23\" data-start=\"4667\" data-end=\"4752\"><span style=\"color: #800000;\">6. The debtor mailed a partial check marked \u201cPAID IN FULL.\u201d Should we deposit it?<\/span><\/h4>\n<p data-start=\"4754\" data-end=\"4820\"><strong data-start=\"4754\" data-end=\"4820\">Do not casually deposit it without reviewing the consequences.<\/strong><\/p>\n<p data-start=\"4822\" data-end=\"4865\">This is a surprisingly important B2B issue.<\/p>\n<p data-start=\"4867\" data-end=\"5150\">Under UCC \u00a73-311, when a disputed or unliquidated claim is involved, cashing an instrument conspicuously tendered as <strong data-start=\"4984\" data-end=\"5005\">full satisfaction<\/strong> can, in some circumstances, discharge the remaining claim. There are exceptions and state-specific issues.<\/p>\n<p data-start=\"5152\" data-end=\"5209\">If someone owes $40,000 and sends a $12,000 check marked:<\/p>\n<blockquote data-start=\"5211\" data-end=\"5242\">\n<p data-start=\"5213\" data-end=\"5242\"><span style=\"color: #800000;\"><strong data-start=\"5213\" data-end=\"5242\">FULL AND FINAL SETTLEMENT<\/strong><\/span><\/p>\n<\/blockquote>\n<p data-start=\"5244\" data-end=\"5296\">that is not an ordinary payment-processing decision.<\/p>\n<p data-start=\"5298\" data-end=\"5344\">Get the account reviewed before depositing it.<\/p>\n<hr data-start=\"5346\" data-end=\"5349\" \/>\n<h4 data-section-id=\"40m0fp\" data-start=\"5351\" data-end=\"5452\"><span style=\"color: #800000;\">7. We found several UCC filings against the debtor. Does that mean they have assets we can seize?<\/span><\/h4>\n<p data-start=\"5454\" data-end=\"5457\">No.<\/p>\n<p data-start=\"5459\" data-end=\"5738\">A UCC financing statement usually tells you that another creditor claims a <strong data-start=\"5534\" data-end=\"5588\">security interest in specified business collateral<\/strong>. It does not tell you that the debtor has cash available or that you automatically have rights to those assets.<\/p>\n<p data-start=\"5740\" data-end=\"6036\">In fact, multiple senior secured creditors can make an unsecured collection claim <strong data-start=\"5822\" data-end=\"5856\">less attractive for litigation<\/strong>, because other creditors may have priority in valuable collateral. Priority depends on the security interests and applicable Article 9 rules.<\/p>\n<p data-start=\"6038\" data-end=\"6096\">A UCC search is intelligence\u2014not a winning lottery ticket.<\/p>\n<hr data-start=\"6098\" data-end=\"6101\" \/>\n<h4 data-section-id=\"bdqvl9\" data-start=\"6103\" data-end=\"6204\"><span style=\"color: #800000;\">8. The owner says, \u201cIt&#8217;s an LLC, so you can never come after me personally.\u201d Is that always true?<\/span><\/h4>\n<p data-start=\"6206\" data-end=\"6296\">No\u2014but ownership alone is generally <strong data-start=\"6242\" data-end=\"6256\">not enough<\/strong> to make an LLC owner personally liable.<\/p>\n<p data-start=\"6298\" data-end=\"6343\">The important questions are whether there is:<\/p>\n<ul data-start=\"6345\" data-end=\"6507\">\n<li data-section-id=\"1v3awzq\" data-start=\"6345\" data-end=\"6374\">a valid personal guarantee;<\/li>\n<li data-section-id=\"1fxq406\" data-start=\"6375\" data-end=\"6403\">sole-proprietor liability;<\/li>\n<li data-section-id=\"1reshbx\" data-start=\"6404\" data-end=\"6440\">another contractual obligation; or<\/li>\n<li data-section-id=\"gx2vup\" data-start=\"6441\" data-end=\"6507\">facts supporting another legally recognized basis for liability.<\/li>\n<\/ul>\n<p data-start=\"6509\" data-end=\"6729\">Commercial collection firms routinely emphasize that a properly executed personal guarantee can materially change the recovery path, particularly if the operating company shuts down.<\/p>\n<p data-start=\"6731\" data-end=\"6814\">This is why guarantees should be identified <strong data-start=\"6775\" data-end=\"6785\">before<\/strong> an account becomes a crisis.<\/p>\n<hr data-start=\"6816\" data-end=\"6819\" \/>\n<h4 data-section-id=\"1vk5j28\" data-start=\"6821\" data-end=\"6946\"><span style=\"color: #800000;\">9. The debtor closed ABC LLC and opened ABC Solutions LLC in the same building with the same employees. Is the debt gone?<\/span><\/h4>\n<p data-start=\"6948\" data-end=\"7023\">Not automatically\u2014but the new company is also <strong data-start=\"6994\" data-end=\"7022\">not automatically liable<\/strong>.<\/p>\n<p data-start=\"7025\" data-end=\"7365\">Successor liability is fact-specific and varies by jurisdiction. Circumstances such as continuation of ownership, assets, management and operations may justify legal review. Courts in some states recognize exceptions to the general rule that an asset purchaser does not assume the seller&#8217;s liabilities.<\/p>\n<p data-start=\"7367\" data-end=\"7410\">For collections, preserve evidence such as:<\/p>\n<ul data-start=\"7412\" data-end=\"7583\">\n<li data-section-id=\"14c3w3g\" data-start=\"7412\" data-end=\"7436\">new corporate filings;<\/li>\n<li data-section-id=\"xran3z\" data-start=\"7437\" data-end=\"7452\">same address;<\/li>\n<li data-section-id=\"i0mg37\" data-start=\"7453\" data-end=\"7477\">same website or phone;<\/li>\n<li data-section-id=\"18kjkco\" data-start=\"7478\" data-end=\"7496\">same principals;<\/li>\n<li data-section-id=\"1edxp2z\" data-start=\"7497\" data-end=\"7515\">asset transfers;<\/li>\n<li data-section-id=\"gvyy6\" data-start=\"7516\" data-end=\"7545\">customer announcements; and<\/li>\n<li data-section-id=\"1imiadc\" data-start=\"7546\" data-end=\"7583\">continuation of the same operation.<\/li>\n<\/ul>\n<p data-start=\"7585\" data-end=\"7677\">A business changing the sign on the door does not necessarily answer the liability question.<\/p>\n<hr data-start=\"7679\" data-end=\"7682\" \/>\n<h4 data-section-id=\"1ksaken\" data-start=\"7684\" data-end=\"7768\"><span style=\"color: #800000;\">10. The debtor says, \u201cWe&#8217;ll pay you when our customer pays us.\u201d Do we just wait?<\/span><\/h4>\n<p data-start=\"7770\" data-end=\"7795\">First check the contract.<\/p>\n<p data-start=\"7797\" data-end=\"7892\">Their cash-flow problem and <strong data-start=\"7825\" data-end=\"7854\">your agreed payment terms<\/strong> are not automatically the same thing.<\/p>\n<p data-start=\"7894\" data-end=\"8034\">If your invoice was Net 30 and nothing in the agreement makes payment conditional on the debtor receiving money from someone else, repeated:<\/p>\n<blockquote data-start=\"8036\" data-end=\"8066\">\n<p data-start=\"8038\" data-end=\"8066\">\u201cWe&#8217;re waiting to get paid.\u201d<\/p>\n<\/blockquote>\n<p data-start=\"8068\" data-end=\"8129\">may simply mean <strong data-start=\"8084\" data-end=\"8128\">you have become their involuntary lender<\/strong>.<\/p>\n<p data-start=\"8131\" data-end=\"8277\">A commercial collector can use that information to negotiate a realistic payment date or structured plan instead of accepting indefinite promises.<\/p>\n<hr data-start=\"8279\" data-end=\"8282\" \/>\n<h4 data-section-id=\"11rka89\" data-start=\"8284\" data-end=\"8426\"><span style=\"color: #800000;\">11. Accounts payable keeps saying, \u201cWe need a W-9 \/ vendor form \/ PO number before we can release payment.\u201d Is that legitimate or a stall?<\/span><\/h4>\n<p data-start=\"8428\" data-end=\"8445\">It can be either.<\/p>\n<p data-start=\"8447\" data-end=\"8572\">These are genuine payment controls inside many larger companies. So before escalating, solve the administrative problem once:<\/p>\n<ul data-start=\"8574\" data-end=\"8717\">\n<li data-section-id=\"uxpsci\" data-start=\"8574\" data-end=\"8591\"><strong>resend the W-9;<\/strong><\/li>\n<li data-section-id=\"6r7r1w\" data-start=\"8592\" data-end=\"8622\"><strong>confirm vendor registration;<\/strong><\/li>\n<li data-section-id=\"z3woiu\" data-start=\"8623\" data-end=\"8639\"><strong>supply the PO;<\/strong><\/li>\n<li data-section-id=\"1g9rxsi\" data-start=\"8640\" data-end=\"8673\"><strong>confirm remittance details; and<\/strong><\/li>\n<li data-section-id=\"1bxxqrl\" data-start=\"8674\" data-end=\"8717\"><strong>identify exactly what AP says is missing.<\/strong><\/li>\n<\/ul>\n<p data-start=\"8719\" data-end=\"8736\">Then document it.<\/p>\n<p data-start=\"8738\" data-end=\"8812\">If every requested document has been supplied and the answer changes from:<\/p>\n<blockquote data-start=\"8814\" data-end=\"8834\">\n<p data-start=\"8816\" data-end=\"8834\"><span style=\"color: #800000;\">\u201cWe need your W-9\u201d<\/span><\/p>\n<\/blockquote>\n<p data-start=\"8836\" data-end=\"8838\">to<\/p>\n<blockquote data-start=\"8840\" data-end=\"8874\">\n<p data-start=\"8842\" data-end=\"8874\"><span style=\"color: #800000;\">\u201cThe controller is reviewing it\u201d<\/span><\/p>\n<\/blockquote>\n<p data-start=\"8876\" data-end=\"8878\">to<\/p>\n<blockquote data-start=\"8880\" data-end=\"8907\">\n<p data-start=\"8882\" data-end=\"8907\"><span style=\"color: #800000;\">\u201cCheck back next Friday,\u201d<\/span><\/p>\n<\/blockquote>\n<p data-start=\"8909\" data-end=\"8948\">you no longer have a paperwork problem.<\/p>\n<p data-start=\"8950\" data-end=\"8993\">You probably have a <strong data-start=\"8970\" data-end=\"8992\">collection problem<\/strong>.<\/p>\n<hr data-start=\"8995\" data-end=\"8998\" \/>\n<h4 data-section-id=\"6bg5zx\" data-start=\"9000\" data-end=\"9094\"><span style=\"color: #800000;\">12. The debtor filed bankruptcy the day after promising payment. Can collections continue?<\/span><\/h4>\n<p data-start=\"9096\" data-end=\"9187\">Usually, ordinary collection activity must stop once the bankruptcy automatic stay applies.<\/p>\n<p data-start=\"9189\" data-end=\"9425\">The automatic stay generally prevents creditors from continuing most efforts to collect pre-bankruptcy debts.
