It does not guarantee that you will ever receive the money.<\/strong><\/span><\/p>\n<p data-start=\"665\" data-end=\"731\">Before filing a lawsuit, a business should answer three questions:<\/p>\n<p data-start=\"733\" data-end=\"862\"><em><strong data-start=\"733\" data-end=\"862\">Can we prove the debt?<br data-start=\"757\" data-end=\"760\" \/>Does the debtor have the ability to pay?<br data-start=\"800\" data-end=\"803\" \/>Will the likely recovery justify the legal cost and time?<\/strong><\/em><\/p>\n<p data-start=\"864\" data-end=\"1112\">Litigation can absolutely make sense for a substantial, well-documented debt against a collectible debtor. Before Asking \u201cCan We Win?\u201d, Ask \u201cCan We Collect?\u201d<\/span><\/h3>\n<p data-start=\"1267\" data-end=\"1312\">This is probably the most important question.<\/p>\n<p data-start=\"1314\" data-end=\"1437\">A court judgment establishes that money is legally owed. The court generally does <strong data-start=\"1396\" data-end=\"1403\">not<\/strong> automatically collect it for you.<\/p>\n<p data-start=\"1439\" data-end=\"1800\">After judgment, the creditor may still need to locate assets and use available procedures involving bank accounts, property, liens or other enforceable assets. Both California and New York court systems explicitly tell judgment creditors that winning is only part of the process\u2014the creditor still has to pursue collection.<\/p>\n<h4 data-start=\"1802\" data-end=\"1842\"><span style=\"color: #800000;\">Example: A $30,000 Victory Worth $0<\/span><\/h4>\n<p data-start=\"1844\" data-end=\"1915\">A supplier has excellent documentation and wins a <strong data-start=\"1894\" data-end=\"1914\">$30,000 judgment<\/strong>.<\/p>\n<p data-start=\"1917\" data-end=\"2091\">Unfortunately, the debtor company has closed. Its bank account is nearly empty, its equipment is financed, and secured creditors have priority claims against valuable assets.<\/p>\n<p data-start=\"2093\" data-end=\"2122\">The creditor won the lawsuit.<\/p>\n<p data-start=\"2124\" data-end=\"2159\">It still has not recovered $30,000.<\/p>\n<p data-start=\"2161\" data-end=\"2255\"><strong data-start=\"2161\" data-end=\"2255\">A strong legal case against an insolvent company can still be a weak financial investment.<\/strong><\/p>\n<hr data-start=\"2257\" data-end=\"2260\" \/>\n<h3 data-section-id=\"56vkae\" data-start=\"2262\" data-end=\"2339\"><span style=\"color: #800000;\">2. Your Documentation Determines How Simple\u2014or Expensive\u2014the Case Becomes<\/span><\/h3>\n<p data-start=\"2341\" data-end=\"2442\">Before suing, imagine handing the file to someone who knows absolutely nothing about the transaction.<\/p>\n<p data-start=\"2444\" data-end=\"2463\">Can they determine:<\/p>\n<ul data-start=\"2465\" data-end=\"2700\">\n<li data-section-id=\"fk30wu\" data-start=\"2465\" data-end=\"2502\">who ordered the product or service;<\/li>\n<li data-section-id=\"1l36t8x\" data-start=\"2503\" data-end=\"2539\">which legal entity owes the money;<\/li>\n<li data-section-id=\"1n827ig\" data-start=\"2540\" data-end=\"2574\">what was delivered or completed;<\/li>\n<li data-section-id=\"54vthh\" data-start=\"2575\" data-end=\"2604\">what price was agreed upon;<\/li>\n<li data-section-id=\"g76w5x\" data-start=\"2605\" data-end=\"2634\">what has already been paid;<\/li>\n<li data-section-id=\"z7yj4f\" data-start=\"2635\" data-end=\"2669\">whether credits were issued; and<\/li>\n<li data-section-id=\"luuykf\" data-start=\"2670\" data-end=\"2700\">the exact remaining balance?<\/li>\n<\/ul>\n<p data-start=\"2702\" data-end=\"2924\">A good commercial file may contain the <strong data-start=\"2741\" data-end=\"2923\">contract, credit application, invoices, purchase orders, delivery records, completion records, emails acknowledging the debt, payment history and personal guarantee if one exists<\/strong>.<\/p>\n<p data-start=\"2926\" data-end=\"3080\">One of the worst times to discover that <strong data-start=\"2966\" data-end=\"3049\">ABC Holdings signed the contract but ABC Services LLC received all the invoices<\/strong> is after litigation has begun.<\/p>\n<hr data-start=\"3082\" data-end=\"3085\" \/>\n<h3 data-section-id=\"1fcmjal\" data-start=\"3087\" data-end=\"3164\"><span style=\"color: #800000;\">3. Winning Does Not Automatically Mean the Debtor Pays Your Attorney Fees<\/span><\/h3>\n<p data-start=\"3166\" data-end=\"3188\">Many creditors assume:<\/p>\n<blockquote data-start=\"3190\" data-end=\"3236\">\n<p data-start=\"3192\" data-end=\"3236\">\u201cIf we win, they&#8217;ll have to pay our lawyer.\u201d<\/p>\n<\/blockquote>\n<p data-start=\"3238\" data-end=\"3254\">Not necessarily.<\/p>\n<p data-start=\"3256\" data-end=\"3525\">Under the American Rule, each side generally pays its own attorney fees unless a contract, statute or another recognized exception permits fee shifting. Attorney fees can also be one of the largest components of litigation expense.<\/p>\n<p data-start=\"3527\" data-end=\"3615\">So before suing over a $25,000 balance, determine whether you could realistically spend:<\/p>\n<p data-start=\"3617\" data-end=\"3727\"><strong data-start=\"3617\" data-end=\"3727\">legal fees + filing fees + service costs + discovery expenses + employee time + judgment-enforcement costs<\/strong><\/p>\n<p data-start=\"3729\" data-end=\"3742\">to obtain it.<\/p>\n<p data-start=\"3744\" data-end=\"3772\">The real calculation is not:<\/p>\n<blockquote data-start=\"3774\" data-end=\"3797\">\n<p data-start=\"3776\" data-end=\"3797\"><span style=\"color: #800000;\"><strong data-start=\"3776\" data-end=\"3797\">Invoice = $25,000<\/strong><\/span><\/p>\n<\/blockquote>\n<p data-start=\"3799\" data-end=\"3805\">It is:<\/p>\n<blockquote data-start=\"3807\" data-end=\"3887\">\n<p data-start=\"3809\" data-end=\"3887\"><span style=\"color: #800000;\"><strong data-start=\"3809\" data-end=\"3887\">Expected recovery \u2212 total legal\/enforcement cost = likely economic outcome<\/strong><\/span><\/p>\n<\/blockquote>\n<hr data-start=\"3889\" data-end=\"3892\" \/>\n<h3 data-section-id=\"uct15q\" data-start=\"3894\" data-end=\"3958\"><span style=\"color: #800000;\">4. Your Contract May Determine Where\u2014or Even Whether\u2014you Sue<\/span><\/h3>\n<p data-start=\"3960\" data-end=\"4011\">Before filing a complaint, read the contract again.<\/p>\n<p data-start=\"4013\" data-end=\"4028\">It may contain:<\/p>\n<ul data-start=\"4030\" data-end=\"4217\">\n<li data-section-id=\"19fdci\" data-start=\"4030\" data-end=\"4054\">an arbitration clause;<\/li>\n<li data-section-id=\"gkr87l\" data-start=\"4055\" data-end=\"4082\">a forum-selection clause;<\/li>\n<li data-section-id=\"1n1swjd\" data-start=\"4083\" data-end=\"4108\">choice-of-law language;<\/li>\n<li data-section-id=\"16lpsng\" data-start=\"4109\" data-end=\"4135\">attorney-fee provisions;<\/li>\n<li data-section-id=\"1btor7p\" data-start=\"4136\" data-end=\"4158\">notice requirements;<\/li>\n<li data-section-id=\"deafvj\" data-start=\"4159\" data-end=\"4184\">personal guarantees; or<\/li>\n<li data-section-id=\"193oup\" data-start=\"4185\" data-end=\"4217\">dispute-resolution procedures.<\/li>\n<\/ul>\n<p data-start=\"4219\" data-end=\"4449\">Many written arbitration agreements involving commerce are enforceable under the Federal Arbitration Act, meaning the dispute may need to go through arbitration instead of an ordinary lawsuit.<\/p>\n<p data-start=\"4451\" data-end=\"4571\">A forum-selection clause can also specify where disputes are supposed to be heard.<\/p>\n<p data-start=\"4573\" data-end=\"4626\"><strong data-start=\"4573\" data-end=\"4626\">Read the contract before choosing the courthouse.<\/strong><\/p>\n<hr data-start=\"4628\" data-end=\"4631\" \/>\n<h3 data-section-id=\"nkizcg\" data-start=\"4633\" data-end=\"4698\"><span style=\"color: #800000;\">5. \u201cThey Didn&#8217;t Pay\u201d Can Quickly Become a Much Bigger Lawsuit<\/span><\/h3>\n<p data-start=\"4700\" data-end=\"4735\">An undisputed invoice is one thing.<\/p>\n<p data-start=\"4737\" data-end=\"4755\">A debtor claiming:<\/p>\n<blockquote data-start=\"4757\" data-end=\"4787\">\n<p data-start=\"4759\" data-end=\"4787\"><strong><span style=\"color: #800000;\">\u201cThe product was defective.\u201d<\/span><\/strong><\/p>\n<\/blockquote>\n<blockquote data-start=\"4789\" data-end=\"4817\">\n<p data-start=\"4791\" data-end=\"4817\"><strong><span style=\"color: #800000;\">\u201cThe work was incomplete.\u201d<\/span><\/strong><\/p>\n<\/blockquote>\n<blockquote data-start=\"4819\" data-end=\"4864\">\n<p data-start=\"4821\" data-end=\"4864\"><strong><span style=\"color: #800000;\">\u201cYou delivered late and caused us damages.\u201d<\/span><\/strong><\/p>\n<\/blockquote>\n<blockquote data-start=\"4866\" data-end=\"4891\">\n<p data-start=\"4868\" data-end=\"4891\"><strong><span style=\"color: #800000;\">\u201cWe are owed a credit.\u201d<\/span><\/strong><\/p>\n<\/blockquote>\n<p data-start=\"4893\" data-end=\"4915\">changes the economics.<\/p>\n<p data-start=\"4917\" data-end=\"5017\">Now the case may involve witnesses, emails, technical records, discovery and perhaps a counterclaim.<\/p>\n<p data-start=\"5019\" data-end=\"5038\">Instead of proving:<\/p>\n<p data-start=\"5040\" data-end=\"5097\"><strong data-start=\"5040\" data-end=\"5097\">\u201cWe delivered $40,000 of services and were not paid.\u201d<\/strong><\/p>\n<p data-start=\"5099\" data-end=\"5125\">you may now need to prove:<\/p>\n<p data-start=\"5127\" data-end=\"5277\"><strong data-start=\"5127\" data-end=\"5277\">\u201cWe performed according to the contract, their allegations are incorrect, their claimed damages are unsupported, and the full amount remains due.\u201d<\/strong><\/p>\n<p data-start=\"5279\" data-end=\"5331\">That doesn&#8217;t mean you should abandon a strong claim.<\/p>\n<p data-start=\"5333\" data-end=\"5393\">It means the <strong data-start=\"5346\" data-end=\"5368\">cost of proving it<\/strong> belongs in the decision.<\/p>\n<hr data-start=\"5395\" data-end=\"5398\" \/>\n<h3 data-section-id=\"129sb8x\" data-start=\"5400\" data-end=\"5442\"><span style=\"color: #800000;\">6. Waiting Too Long Can Remove Options<\/span><\/h3>\n<p data-start=\"5444\" data-end=\"5522\">There is no single nationwide statute of limitations for every unpaid invoice.<\/p>\n<p data-start=\"5524\" data-end=\"5605\">Deadlines depend on the state, the type of agreement and the nature of the claim.<\/p>\n<p data-start=\"5607\" data-end=\"5856\">One useful example: UCC \u00a72-725 generally provides a <strong data-start=\"5659\" data-end=\"5746\">four-year limitations period for breach-of-contract claims involving sales of goods<\/strong>, although applicable law and contractual terms can affect the analysis.<\/p>\n<p data-start=\"5858\" data-end=\"5915\">Other written-contract claims may have different periods.<\/p>\n<p data-start=\"5917\" data-end=\"6023\">This is why an account should not sit untouched for years and then suddenly be handed to an attorney with:<\/p>\n<blockquote data-start=\"6025\" data-end=\"6056\">\n<p data-start=\"6027\" data-end=\"6056\"><span style=\"color: #800000;\"><strong>\u201cWe need to sue immediately.\u201d<\/strong><\/span><\/p>\n<\/blockquote>\n<p data-start=\"6058\" data-end=\"6130\"><strong data-start=\"6058\" data-end=\"6130\">Account age affects both legal options and practical collectability.<\/strong><\/p>\n<hr data-start=\"6132\" data-end=\"6135\" \/>\n<h3 data-section-id=\"2x54jy\" data-start=\"6137\" data-end=\"6190\"><span style=\"color: #800000;\">7. Bankruptcy Can Stop a Lawsuit Almost Overnight<\/span><\/h3>\n<p data-start=\"6192\" data-end=\"6255\">A debtor can promise payment Friday and file bankruptcy Monday.<\/p>\n<p data-start=\"6257\" data-end=\"6485\">Once an applicable bankruptcy automatic stay takes effect, creditors generally cannot begin or continue ordinary lawsuits and collection activity without appropriate bankruptcy-court relief.<\/p>\n<p data-start=\"6487\" data-end=\"6671\">A creditor may instead need to participate in the bankruptcy process and, where appropriate, file a <strong data-start=\"6587\" data-end=\"6632\">proof of claim supported by documentation<\/strong>.<\/p>\n<p data-start=\"6673\" data-end=\"6777\">That makes bankruptcy screening particularly useful before substantial money is committed to litigation.<\/p>\n<hr data-start=\"6779\" data-end=\"6782\" \/>\n<h3 data-section-id=\"micgy1\" data-start=\"6784\" data-end=\"6835\"><span style=\"color: #800000;\">8. Settling for Less Can Sometimes Produce More<\/span><\/h3>\n<p data-start=\"6837\" data-end=\"6877\">Suppose a customer owes you <strong data-start=\"6865\" data-end=\"6876\">$50,000<\/strong>.<\/p>\n<p data-start=\"6879\" data-end=\"6909\">After negotiation, they offer:<\/p>\n<p data-start=\"6911\" data-end=\"6937\"><strong data-start=\"6911\" data-end=\"6937\">$42,000 paid promptly.<\/strong><\/p>\n<p data-start=\"6939\" data-end=\"7095\">Your alternative may be a year of litigation, several thousand dollars of legal expense and uncertainty over whether the eventual judgment can be collected.<\/p>\n<p data-start=\"7097\" data-end=\"7149\">Taking $42,000 is not automatically \u201closing $8,000.\u201d<\/p>\n<p data-start=\"7151\" data-end=\"7174\">The real comparison is:<\/p>\n<p data-start=\"7176\" data-end=\"7191\"><strong data-start=\"7176\" data-end=\"7191\">$42,000 now<\/strong><\/p>\n<p data-start=\"7193\" data-end=\"7199\">versus<\/p>\n<p data-start=\"7201\" data-end=\"7289\"><strong data-start=\"7201\" data-end=\"7289\">possible future judgment \u2212 legal expense \u2212 enforcement cost \u2212 time \u2212 collection risk<\/strong><\/p>\n<p data-start=\"7291\" data-end=\"7514\">Federal courts themselves encourage mediation because settlement can provide advantages involving <strong data-start=\"7389\" data-end=\"7440\">cost, speed, certainty, control and flexibility<\/strong> compared with continued litigation.<\/p>\n<h4 data-start=\"7516\" data-end=\"7579\">Example: The Bigger Judgment Is Not Always the Better Deal<\/h4>\n<p data-start=\"7581\" data-end=\"7608\">A business is owed $75,000.<\/p>\n<p data-start=\"7610\" data-end=\"7654\">The debtor offers $62,000 over three months.<\/p>\n<p data-start=\"7656\" data-end=\"7781\">The creditor believes it can win all $75,000 in court\u2014but expects $15,000 in legal expenses and another year before judgment.<\/p>\n<p data-start=\"7783\" data-end=\"7823\">Even before considering collection risk:<\/p>\n<p data-start=\"7825\" data-end=\"7856\"><strong data-start=\"7825\" data-end=\"7856\">$75,000 \u2212 $15,000 = $60,000<\/strong><\/p>\n<p data-start=\"7858\" data-end=\"7915\">Suddenly, the $62,000 settlement deserves a serious look.<\/p>\n<hr data-start=\"7917\" data-end=\"7920\" \/>\n<h3 data-section-id=\"ndq8m\" data-start=\"7922\" data-end=\"7998\"><span style=\"color: #800000;\">9. Litigation Is Often Better as an Escalation Tool Than an Opening Move<\/span><\/h3>\n<p data-start=\"8000\" data-end=\"8074\">For many ordinary unpaid commercial accounts, a reasonable progression is:<\/p>\n<p data-start=\"8076\" data-end=\"8198\"><strong data-start=\"8076\" data-end=\"8198\">Internal collection \u2192 professional collection \u2192 negotiation \u2192 attorney review \u2192 litigation when economically justified<\/strong><\/p>\n<p data-start=\"8200\" data-end=\"8282\">A commercial collection agency can often establish useful facts before litigation:<\/p>\n<ul data-start=\"8284\" data-end=\"8532\">\n<li data-section-id=\"81rk8f\" data-start=\"8284\" data-end=\"8311\"><span style=\"color: #800000;\"><em><strong>Is the debtor responding?<\/strong><\/em><\/span><\/li>\n<li data-section-id=\"lzrfxv\" data-start=\"8312\" data-end=\"8341\"><span style=\"color: #800000;\"><em><strong>Is there a genuine dispute?<\/strong><\/em><\/span><\/li>\n<li data-section-id=\"ubroht\" data-start=\"8342\" data-end=\"8376\"><span style=\"color: #800000;\"><em><strong>Is the business still operating?<\/strong><\/em><\/span><\/li>\n<li data-section-id=\"mh66ff\" data-start=\"8377\" data-end=\"8413\"><span style=\"color: #800000;\"><em><strong>Are payment arrangements possible?<\/strong><\/em><\/span><\/li>\n<li data-section-id=\"1skwwzt\" data-start=\"8414\" data-end=\"8440\"><span style=\"color: #800000;\"><em><strong>Has bankruptcy occurred?<\/strong><\/em><\/span><\/li>\n<li data-section-id=\"1txj2em\" data-start=\"8441\" data-end=\"8485\"><span style=\"color: #800000;\"><em><strong>Has the debtor repeatedly broken promises?<\/strong><\/em><\/span><\/li>\n<li data-section-id=\"6hoqmt\" data-start=\"8486\" data-end=\"8532\"><span style=\"color: #800000;\"><em><strong>Is legal escalation economically worthwhile?<\/strong><\/em><\/span><\/li>\n<\/ul>\n<p data-start=\"8534\" data-end=\"8662\">That can help prevent creditors from spending attorney fees simply to discover that the company has no realistic ability to pay.<\/p>\n<p data-start=\"8664\" data-end=\"8900\">There are exceptions.
