The statutory amount is $100 in towns and cities with populations of 20,000 or more and $25 in smaller towns and cities. The original agreement may even reduce that period to no less than one year.<\/p>\n<p data-start=\"3503\" data-end=\"3676\"><strong data-start=\"3503\" data-end=\"3514\">6 years<\/strong> for several other categories, including promises in writing, stated or liquidated accounts and many simple contract claims.<\/p>\n<h4 data-start=\"3678\" data-end=\"3690\"><span style=\"color: #800000;\">Example<\/span><\/h4>\n<p data-start=\"3692\" data-end=\"3771\">Imagine two Alabama companies each have a <strong data-start=\"3734\" data-end=\"3770\">five-year-old $25,000 receivable<\/strong>.<\/p>\n<p data-start=\"3773\" data-end=\"3819\">One arose from a sale of industrial equipment.<\/p>\n<p data-start=\"3821\" data-end=\"3880\">The other arose from a qualifying written service contract.<\/p>\n<p data-start=\"3882\" data-end=\"3943\">Those accounts may not have the same remaining legal options.<\/p>\n<p data-start=\"3945\" data-end=\"3964\">That is why saying:<\/p>\n<blockquote data-start=\"3966\" data-end=\"4006\">\n<p data-start=\"3968\" data-end=\"4006\"><span style=\"color: #000000;\">\u201cAlabama debts are good for six years\u201d<\/span><\/p>\n<\/blockquote>\n<p data-start=\"4008\" data-end=\"4038\">is dangerously oversimplified.<\/p>\n<hr data-start=\"4040\" data-end=\"4043\" \/>\n<h4 data-start=\"4045\" data-end=\"4122\"><span style=\"color: #800000;\">3. Our Alabama customer&#8217;s LLC dissolved. Is the debt automatically gone?<\/span><\/h4>\n<p data-start=\"4124\" data-end=\"4127\">No.<\/p>\n<p data-start=\"4129\" data-end=\"4195\">Dissolution does <strong data-start=\"4146\" data-end=\"4194\">not automatically erase every creditor claim<\/strong>.<\/p>\n<p data-start=\"4197\" data-end=\"4280\">But Alabama&#8217;s LLC law contains procedures that can make timing extremely important.<\/p>\n<p data-start=\"4282\" data-end=\"4604\">A dissolved LLC may send a known creditor a notice requiring the creditor to submit its claim by a deadline that cannot be fewer than <strong data-start=\"4416\" data-end=\"4428\">120 days<\/strong> from the notice. If a properly submitted claim is rejected, the creditor can face a <strong data-start=\"4513\" data-end=\"4530\">90-day period<\/strong> to begin an enforcement proceeding.<\/p>\n<p data-start=\"4606\" data-end=\"4820\">A dissolved LLC can also publish notice affecting certain other claims; qualifying claims may be barred unless proceedings are commenced within <strong data-start=\"4750\" data-end=\"4781\">two years after publication<\/strong>.<\/p>\n<p data-start=\"4822\" data-end=\"4913\">So if you receive a dissolution notice from an Alabama business, do not put it in a drawer.<\/p>\n<p data-start=\"4915\" data-end=\"4994\"><strong data-start=\"4915\" data-end=\"4994\">A dissolved debtor can create shorter deadlines than the creditor expected.<\/strong><\/p>\n<hr data-start=\"4996\" data-end=\"4999\" \/>\n<h4 data-start=\"5001\" data-end=\"5109\"><span style=\"color: #800000;\">4. The Alabama Secretary of State shows the business under a slightly different name. Does that matter?<\/span><\/h4>\n<p data-start=\"5111\" data-end=\"5121\">Very much.<\/p>\n<p data-start=\"5123\" data-end=\"5272\">The Alabama Secretary of State maintains searchable records for corporations, LLCs and other business entities.<\/p>\n<p data-start=\"5274\" data-end=\"5321\">Before pursuing a significant account, confirm:<\/p>\n<p data-start=\"5323\" data-end=\"5522\"><strong data-start=\"5323\" data-end=\"5522\">Who signed the contract?<br data-start=\"5349\" data-end=\"5352\" \/>Who received the goods or services?<br data-start=\"5387\" data-end=\"5390\" \/>Who appears on the invoices?<br data-start=\"5418\" data-end=\"5421\" \/>Who has historically made payments?<br data-start=\"5456\" data-end=\"5459\" \/>Is there a DBA?<br data-start=\"5474\" data-end=\"5477\" \/>Is a parent or affiliated company involved?<\/strong><\/p>\n<h4 data-start=\"5524\" data-end=\"5536\"><span style=\"color: #800000;\">Example<\/span><\/h4>\n<p data-start=\"5538\" data-end=\"5566\">Your accounting system says:<\/p>\n<p data-start=\"5568\" data-end=\"5598\"><strong data-start=\"5568\" data-end=\"5598\">Southern Industrial Supply<\/strong><\/p>\n<p data-start=\"5600\" data-end=\"5622\">but the contract says:<\/p>\n<p data-start=\"5624\" data-end=\"5669\"><strong data-start=\"5624\" data-end=\"5669\">Southern Industrial Supply of Alabama LLC<\/strong><\/p>\n<p data-start=\"5671\" data-end=\"5697\">while checks arrived from:<\/p>\n<p data-start=\"5699\" data-end=\"5720\"><strong data-start=\"5699\" data-end=\"5720\">SIS Holdings Inc.<\/strong><\/p>\n<p data-start=\"5722\" data-end=\"5782\">Those names should not simply be treated as interchangeable.<\/p>\n<p data-start=\"5784\" data-end=\"5849\"><strong data-start=\"5784\" data-end=\"5849\">Identify the correct debtor before escalating the collection.<\/strong><\/p>\n<hr data-start=\"5851\" data-end=\"5854\" \/>\n<h4 data-start=\"5856\" data-end=\"5969\"><span style=\"color: #800000;\">5. We found several Alabama UCC filings against the debtor. Is that good because it proves they have assets?<\/span><\/h4>\n<p data-start=\"5971\" data-end=\"5987\">Not necessarily.<\/p>\n<p data-start=\"5989\" data-end=\"6126\">The Alabama Secretary of State maintains searchable UCC records, including searches by debtor name.<\/p>\n<p data-start=\"6128\" data-end=\"6229\">A UCC filing can indicate that another creditor has a security interest in specified business assets.<\/p>\n<p data-start=\"6231\" data-end=\"6271\">So discovering several filings may mean:<\/p>\n<blockquote data-start=\"6273\" data-end=\"6313\">\n<p data-start=\"6275\" data-end=\"6313\"><span style=\"color: #000000;\">\u201cThis company has valuable equipment.\u201d<\/span><\/p>\n<\/blockquote>\n<p data-start=\"6315\" data-end=\"6336\">But it may also mean:<\/p>\n<blockquote data-start=\"6338\" data-end=\"6426\">\n<p data-start=\"6340\" data-end=\"6426\"><span style=\"color: #000000;\"><strong data-start=\"6340\" data-end=\"6426\">\u201cOther secured creditors may already have priority claims against that equipment.\u201d<\/strong><\/span><\/p>\n<\/blockquote>\n<p data-start=\"6428\" data-end=\"6522\">That distinction becomes especially important before spending substantial money on litigation.<\/p>\n<p data-start=\"6524\" data-end=\"6601\"><strong data-start=\"6524\" data-end=\"6601\">A UCC search provides intelligence. It does not guarantee collectability.<\/strong><\/p>\n<hr data-start=\"6603\" data-end=\"6606\" \/>\n<h4 data-start=\"6608\" data-end=\"6684\"><span style=\"color: #800000;\">6. Can an Alabama creditor simply add interest to a delinquent invoice?<\/span><\/h4>\n<p data-start=\"6686\" data-end=\"6697\">Be careful.<\/p>\n<p data-start=\"6699\" data-end=\"7058\">Alabama has specific statutory interest rules. Alabama Code \u00a78-8-1 generally provides a 6% rate absent a written contract and up to 8% by written contract in circumstances covered by that provision, unless another law applies.
